This End User License Agreement ("EULA") is a binding legal agreement between you, as an individual or entity, and B-Acads Pvt Limited. By using this website on any platform for Android, iOS or other mobile platform, as applicable (the "Service/Software"), you agree to be bound by the terms of this EULA. If you do not agree to this EULA, do not use the Service/Software and delete it. You agree that installation or use of the Software/Service signifies that you have read, understood, and agree to be bound by this EULA.

For clarification, any service/software accessed through our website, or otherwise, is also subject to the Privacy Policy and Cookie Policy. Additional terms may apply to specific features. The Service/Software is provided to you under this EULA solely for your private, non-commercial use. Use of the Software or any Service within an organization requires a commercial agreement for the applicable Service/Software.

1. Description of Service /Software

The service/Software is accessed through our website, www.b-acads.com. The application enables you to access functionality directly from your Android, iPhone, iPad or other mobile device or from your laptops and desktops. You must associate the service/software with your registered account to enable its full functionality.

2. License

B-Acads hereby grants you, subject to the terms and conditions of this EULA, a non-exclusive, non-transferable personal license to:

Use the service/software for your own personal use;

For clarity, the foregoing is not intended to prohibit you from installing and backing-up the Software/Service for another Device on which you also agreed to the EULA. Each instance of this EULA that you agree to grants you the aforementioned rights in connection with the installation and use the Service/Software on one Device.

3. Title

Title, ownership and all rights (including without limitation intellectual property rights) in and to the Service/Software shall remain with B-Acads. Except for those rights expressly granted in this EULA, no other rights are granted, whether express or implied.

4. Rights and Limits

You own all of the content, feedback and personal information you provide to us, but you also grant us a non-exclusive license to it.

You may decide who gets to see your information and content, including how it can be used for ads.

You own the content and information that you submit and grant B-Acads the following non-exclusive license:

Transferable and sublicensable right to use, copy, modify, distribute, publish and process, information and content that you provide through service/software, without any further consent. These rights are limited in the following ways:

• You can end this license for specific content by deleting such content, or generally by closing your account, except (a) to the extent you shared it with others, and they copied, re-shared it and (b) for the reasonable time it takes to remove from backup and other systems.
• We will not include your content in advertisements for the products and services of third parties to others without your separate consent. However, we have the right, without payment to you or others, to serve ads near your content and information, and your social actions may be visible and included with ads
• We will get your consent if we want to give others the right to publish your content beyond the Services.
• While we may edit and make format changes to your content.
• Any personal data is subject to our Privacy Policy.
• We may access, store, process and use any information and personal data that you provide in accordance with, the terms of the Privacy Policy.
• You promise to only provide information and content that you have the right to share, and that your profile will be truthful.
• You agree to only provide content or information that does not violate the law nor anyone’s rights (including intellectual property rights). 
• We may be required by law to remove certain information or content.
• Since many users would be doing a full-time job, it would be their responsibility to get consent from their organisation to take up assignments in the field of academics or for faculty to take consent from their academic institutions, if required

5. Obligations

You confirm to be above 18 years of age to use the services.

You confirm that you have only one account. You are not restricted from us to use the services or make an account. You undertake to follow Laws of the land. You are responsible for anything that happens through your account unless you close it or report misuse. You shall honour your payment obligations. Any refunds are subject to our policy. All your subscriptions bought are subject to applicable taxes.

We may provide notices to you through websites, apps, and contact information. If your contact information is out of date, you may miss out on important notices.

When you share information on our Services/software, others can see, copy and use that information.

6. Restrictions

You understand and agree that you shall only use the Service/Software in a manner that complies with any and all applicable laws in the jurisdictions in which you use the Service/Software. Your use shall be in accordance with applicable restrictions concerning privacy and intellectual property rights.

You may not:

Create derivative works based on the Software/Service.

Use the Service/Software for any purpose other than as described herein.

Copy or reproduce the Service/ Software.

Sell, assign, license, disclose, distribute or otherwise transfer or make available the Service/Software or any copies of the Service/Software in any form to any third parties.

Alter, translate, decompile, reverse assemble or reverse engineer the Service/Software, or attempt to do any of the foregoing, except to the extent this prohibition is not permitted under an applicable law; or Remove or alter any proprietary notices or marks on the Service/Software.

7. Personal Information and Privacy

Our handling of personal information we collect through the B-Acads Website, www.b-Acads.com Services or the Software is governed by the B-Acads Private Limited’s Privacy Policy.

8. No Warranty

B-Acads Private Limited does not warrant that the functions contained in the service/software will meet any requirements or needs you may have, or that the service/software will operate error free, or in an uninterrupted manner, or that any defects or errors will be corrected, or that the service/software is fully compatible with any particular platform. The service/software is offered on an "as-is" basis and no warranty, either express or implied, is given. B-Acads Private Limited expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

9. Right to Terminate or Modify Service/Software

B-Acads Private Limited may change or end any Service or modify our prices prospectively. B-Acads Private Limited may modify the Service/Software and this EULA without notice. You may cease use of the Service/Software at any time. Either party may terminate this EULA at any time, with or without notice.

10. Indemnification

To the fullest extent permitted by law, you agree to indemnify and otherwise hold harmless B-Acads Private Limited, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages arising out of, relating to, or resulting from your use of the Service/Software or any other matter relating to the Service/Software.

11. Limitation of Liability

You expressly understand and agree that B-Acads Private Limited shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if_ B-Acads Private Limited has been advised of the possibility of such damages). In no event will B-Acads Private Limited's aggregate liability to you exceed the amount of licensing fees paid by you to B-Acads Private Limited.

12. Governing Law and Dispute Resolution

The EULA shall fully comply with the applicable Governmental and local laws, rules and regulations and orders. All terms/services covered by EULA shall also comply with any and all such legal requirements.

Indian Law shall govern the construction, validity and performance of EULA in all respects and B-Acads Private Limited submits to the exclusive jurisdiction of the Mumbai Courts.
